End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Taxiom (“Company”, “we”, “us”) governing your use of the Taxiom software, services, and any associated integrations, including the QuickBooks integration (“Service”). By accessing or using the Service you agree to be bound by this Agreement.
1. Grant of License
Subject to your compliance with this Agreement, Taxiom grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes.
2. QuickBooks Integration
Taxiom integrates with Intuit QuickBooks via the Intuit Developer Platform. By enabling the QuickBooks integration you authorise Taxiom to connect to your QuickBooks account on your behalf. You acknowledge that:
- Taxiom is not affiliated with, endorsed by, or sponsored by Intuit Inc. QuickBooks is a registered trademark of Intuit Inc.
- Your use of QuickBooks is separately governed by Intuit’s own terms of service and privacy policy.
- Taxiom will only request the QuickBooks scopes necessary to provide the Service (e.g. reading and writing accounting data on your behalf).
- You may revoke Taxiom’s access to your QuickBooks account at any time through your Intuit account settings.
3. Restrictions
You agree not to:
- Copy, modify, or distribute the Service or any portion of it.
- Reverse engineer, decompile, or disassemble the Service.
- Use the Service to process data in violation of any applicable law.
- Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Service.
4. Intellectual Property
All rights, title, and interest in the Service, including all intellectual property rights, remain with Taxiom. This Agreement does not grant you any rights to Taxiom’s trademarks, logos, or other brand features.
5. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. We handle all data you provide or that is accessed via integrations (including QuickBooks) in accordance with that policy.
6. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Taxiom does not warrant that the Service will be uninterrupted, error-free, or free of viruses.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Taxiom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if Taxiom has been advised of the possibility of such damages.
8. Termination
This Agreement is effective until terminated. Taxiom may terminate or suspend your access to the Service at any time, with or without cause. Upon termination, all licences granted under this Agreement will immediately cease.
9. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
